PA Terms and Conditions
The following terms and conditions shall apply to the Licensee where the Licensed Materials includes any materials obtained by Stats Perform from the Press Association (PA):
- The Licensee shall only publish the most recently updated version of the Licensed Materials as at the time such Licensed Materials are made available to the Licensee (whether updated by PA and/or Stats Perform to correct an earlier error and/or to reflect developments in a story and/or for any other reason.
- The Licensee will, within a reasonable period of time and except to the extent necessary to maintain records for its own internal and legal purposes, delete all Licensed Materials that it is no longer permitted to publish, including all earlier versions of Licensed Materials that Stats Perform has, prior to publication, replaced with updated versions and any other Licensed Materials that Stats Perform specifically in writing instructs the Licensee to delete.
- The Licensee will publish the Licensed Materials only in an editorial context.
- The Licensee will publish any pictorial Licensed Materials provided for publication accompanying other Licensed Materials only with such Licensed Materials.
- The Licensee will not use the Licensed Materials to create its own tables, databases or compilations of data.
- The Licensee will not use the Licensed Materials for any purpose except as expressly permitted by this Agreement.
- The Licensee will, on an uncapped basis, indemnify and keep indemnified Stats Perform and its Affiliates against all loss, damage and expense (including any reasonable legal and other reasonable professional expenses) incurred or suffered by Stats Perform and/or its Affiliates directly or indirectly arising (in whole or in part) from (a) any use, reproduction or distribution by the Licensee (or any person authorised or permitted by the Licensee) of any part of the Licensed Materials in a manner not authorised by this Agreement and (b) any templates and/or formatting requirements of the Licensee (including any material provided by the Licensee) infringing any third party rights. For the avoidance of doubt, the Licensee shall, in respect of the indemnity above, be liable to Stats Perform and/or its Affiliates for any consequential, incidental, indirect, special, exemplary and/or punitive damages, losses and/or expenses it suffers (including but not limited to business interruption, lost business, lost profits and/or lost savings).
The Licensee acknowledges and agrees that all Licensed Materials will be attributed on its publication by the Licensee on its websites to Stats Perform.
